Terms of Service
These are the terms for using Stride Warehouse (the "Service"), operated by Express Installation Services Inc, dba Stride ("we", "us"). By creating an operator account, by signing in to an account an operator has given you, or by using a private link the Service sent you, you agree to them. If you do not agree, do not use the Service.
The Service is warehouse, delivery and installation management software. An operator subscribes to it and uses it to run its business; its clients and the people it delivers to use it at the operator's invitation. Part A is for the subscribing operator. Part B is for everyone else. Part C applies to both.
The Privacy Policy and the Text Message Terms are part of these terms.
The Service is not a party to your warehousing agreement. The terms on which an operator stores, handles, delivers and bills for a client's goods — including liability for loss or damage, insurance and claims — are set by the operator's own agreement, which a client signs on the intake form. We provide the software that records that relationship; we are not the warehouse, the carrier or the insurer.
Part A — Operators that subscribe
Your account. The person who creates an operator account confirms they are authorised to bind that company. The operator is responsible for everyone it adds to its account — staff and client logins alike — and for what they do in it, and for keeping sign-in details safe.
Subscription and payment. Plans, prices and limits are shown in the Service when you subscribe. Fees are billed in advance by card through Stripe and are not refundable except where the law requires it. Usage charges — text messages sent on the platform's number — are billed to the operator whose staff sent them or whose alerts they were. We may change prices with at least thirty days' notice; a change takes effect at your next renewal. If a payment fails we may suspend the account after notice until it is paid.
Your data. The records in your account — your clients, their goods, orders, photos, documents, invoices and messages — are yours. You are responsible for having the right to put them there and for telling your clients and the people you deliver to what you collect about them and why. We process those records only to provide the Service, as described in the Privacy Policy.
Payments you collect. Card and bank payments from your clients are processed by Stax under your own merchant agreement with Stax. We pass the charge to Stax and record the result; we do not hold the funds and are not a party to the payment. Chargebacks and disputes are between you, your client and Stax.
Integrations. Where you connect QuickBooks Online, DispatchTrack or another service, you authorise us to send the relevant records to your account there, under that service's terms. We are not responsible for what those services do with them or for their availability.
The Service is a tool; the operator is the operator. The Service records goods, computes storage and service charges from the rates you configure, and produces invoices and reports. It does not know your tariff, your insurance policy or your state's law unless you set them up, and it does not replace your judgement. You remain responsible for verifying charges before they are billed, for the condition of goods in your care, for your agreements with your clients, and for every legal and tax obligation of your business. Nothing in the Service is legal, tax or insurance advice.
Text messages. If you turn text messages on, you confirm you have the right to have your staff contacted at the numbers you configure, and that a customer you text has given the consent described in the Text Message Terms.
Acceptable use. Use the Service only for running your own business and only lawfully. Do not use it to harass anyone, to store information you have no right to hold, to send messages people have not agreed to receive, to probe or overload the Service, or to build a competing product from it.
Ending the subscription. You can cancel at any time; the account stays open until the end of the paid period. We may suspend or close an account that breaks these terms, after notice where practical. Export what you need before the paid period ends: once the account is closed the Service is locked, and we may delete its data after 30 days, subject to the retention set out in the Privacy Policy.
Support access
Support access. To give you support, help you set up and fix problems, our support staff may sign in to your operator account, including as any person you have added to it, and see and do what that person can. What they do in a support session is recorded in the Service as done by that person. Standing support access is on when you accept these terms, and an admin can turn it off, or back on, at any time in Settings → Support access. While it is off, we ask one of your admins to allow each sign-in first. Either way, we record every support sign-in, the screen shows a support session is under way, and we use this access only to support your business.
Part B — Clients, delivery recipients and everyone else
Your access is the operator's. An operator gave you a login or sent you a private link. It controls what is recorded about you and your goods and who at the operator sees it. Questions about an order, a charge, a delivery or a claim go to the operator. These terms do not change your agreement with the operator.
Private links. A link to schedule a delivery, sign a document, upload a certificate, view photos or pay an invoice is for the person it was sent to. Do not share it. A link may expire or be revoked by the operator.
Use it honestly. Sign in as yourself only. Do not sign for someone else, submit information about a business you are not authorised to represent, or share your sign-in details. Tell the operator if you think someone else has used your account.
Electronic signatures. When you sign a document in the Service by typing or drawing your name and pressing the button, you intend that signature to have the same effect as a handwritten one. The Service records the wording you agreed to, the time, and the device you signed from, and the operator emails you a copy.
Your choices. You can stop text messages at any time — reply STOP to any message. The Privacy Policy explains what is collected and the choices you have.
Your content. What you submit — notes, requests, photos, survey answers — becomes part of the operator's record. Do not submit anything unlawful, abusive or that you have no right to share.
Part C — Both
Availability and changes. We work to keep the Service available and may change, add or remove features. We will give reasonable notice of a change that materially reduces what a subscription includes. Planned maintenance is announced by email where practical.
Provided "as is". The Service is provided as it is and as available. To the fullest extent the law allows, we make no warranty of any kind, express or implied — including that it is fit for a particular purpose, that it is merchantable, that it will be uninterrupted or error-free, or that any charge, invoice, inventory count, delivery time or calculation it produces is correct. You use the Service, and rely on what it produces, at your own risk, and you are responsible for checking it.
Limitation of liability. To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, or the cost of substitute services, arising from or connected with the Service — however caused and whether or not we were told they were possible. That includes loss arising from an error, outage or delay in the Service, from a miscalculated charge, from a message that was not delivered, from a payment that did not process, or from data that was lost or changed. We are never liable for loss of or damage to goods in an operator's care. Our total liability for everything arising from or connected with the Service is limited to the fees the subscribing operator paid us in the twelve months before the claim, or $100 if that is greater. For a person who uses the Service without paying us, that means our liability is limited to $100.
What the limits do not cover. Nothing in these terms excludes or limits liability that the law does not allow to be excluded or limited, including for our gross negligence, wilful misconduct or fraud, or for death or personal injury caused by our negligence.
Indemnity by the subscribing operator. The subscribing operator will defend and hold us harmless from claims by its clients, the people it delivers to, or any third party arising from the operator's use of the Service, its records, its handling of goods, its messages, or its failure to meet its own obligations, except to the extent we caused the claim.
Governing law. These terms are governed by the laws of the State of Washington, without regard to its conflict-of-law rules. Disputes will be brought in the state or federal courts in King County, Washington, and both of us agree to that venue.
Changes to these terms. If we change these terms, the version date at the top changes and you will be asked to agree to the new version the next time you sign in.
